Terms of Service for Clients

These Terms of Use (the "Terms of Service") govern the access or use of applications, websites, content, products, and services (the “Services”) by you, an individual (the “Client”), from within any country in the world made available by Honor Style Limited (the "Company," "Honorstyle, "we" or "us") a private limited liability company established in Kenya. The Company's Privacy Policy is located at https://www.honorstyle.co.ke/privacy and as well as any community guidelines or dispute resolution procedures that the Company may provide or make available, are all considered part of these Terms of Service and are incorporated by reference into these Terms of Service in their entirety. All policies, guidelines, programs, schedules, and processes incorporated into these Terms of Service are considered a part of these Terms of Service. If there is a conflict between these Terms of Service and any other terms posted on the website, these Terms of Service will prevail. Similarly, if there is a conflict between these Terms of Service and the End User License Agreement (EULA) in mobile applications, the terms of the EULA will govern.

Please read these terms of service carefully. This is a legal agreement between Honorstyle and you which governs your use of the services. your use of the services constitutes your acceptance of and agreement to all of the terms and conditions in these terms of service and your representation that you are 18 years of age or older. if you object to anything in these terms of service, you are not permitted to use the services.

Terms of Service for Clients

These Terms of Use (the "Terms of Service") govern the access or use of applications, websites, content, products, and services (the “Services”) by you, an individual (the “Client”), from within any country in the world made available by Honor Style Limited (the "Company," "Honorstyle,""we" or "us") a private limited liability Company established in Kenya. The Company's Privacy Policy located at https://honorstyle.co.ke/privacy, as well as any community guidelines or dispute resolution procedures that the Company may provide or make available, are all considered part of these Terms of Service and are incorporated by reference into these Terms of Service in their entirety. All policies, programs, guidelines, schedules, and processes that are incorporated into these Terms of Service are considered a part of these Terms of Service. If there is a conflict between these Terms of Service and any other terms posted on the website, these Terms of Service will prevail. Similarly, if there is a conflict between these Terms of Service and the End User License Agreement (EULA) in mobile applications, the terms of the EULA will govern.

This is a legal agreement between Honorstyle and you which governs your use of the services. Your use of the services constitutes acceptance of and agreement to all of the Terms and Conditions in these Terms of Service and your representation that you are 18 years of age or older. If you object to anything in these Terms of Service, you are not permitted to use the services.

If you are under 18 years old, you need to obtain your parent or legal guardian’s permission before using the Services. Your parent or legal guardian will also be responsible for your activity on the Services and will be subject to these Terms of Service.

If you are using the Services on behalf of a legal entity, you warrant and represent to Honorstyle that you have the full authority to do so.

Honorstyle reserves the right to modify or update these Terms of Service at any time and encourages you to review them regularly on the Honorstyle website. Your continued use of the Services following any changes to these Terms of Service constitutes your acceptance of the revised Terms of Service.

The Services are protected by copyright and other intellectual property laws and treaties. Unauthorized reproduction or distribution of the services, in whole or in part, may result in severe civil and criminal penalties and will be prosecuted to the fullest extent of the law. The Services are licensed, not sold.

The Honorstyle Services

Honorstyle is a platform that connects salons, spa’s, barbershops, fitness studios, tattooing, pet grooming and photography Vendors (collectively or individually, "Vendors") providing hair, beauty and other health and wellness services ("Beauty Groom Services") with clients seeking such services ("Clients"). The Vendors and Clients are both users of the Services provided by Honorstyle and are hereinafter referred to collectively as "Users"

(i) the Company does not conduct background checks on Clients and

(ii) any provision of Services in a private location inherently increases the risks involved for both Clients and Vendors.

Honorstyle does not have control over the quality, suitability, reliability, timing, durability, legality, failure to provide, or any other aspect whatsoever of any Beauty Groom Services provided by Vendors nor of the integrity, responsibility or any of the actions or omissions whatsoever of any Vendors or Clients. Honorstyle makes no representations or warranties whatsoever with respect to Beauty Groom Services offered or provided by Vendors or requested by Clients through use of the Services, whether in public, private, or offline interactions, or about the accreditation, registration or licensing of any Vendor. You understand that Honorstyle does not routinely screen its Users, inquire into the background of its Users or attempt to verify information provided by any User. Honorstyle does not verify or confirm that any User(the Client) is who they claim to be or is accurately representing themselves and does not verify or confirm any representations with respect to Beauty Groom Services on the Honorstyle Services. Honorstyle does not assume any responsibility for the accuracy or reliability of this information or any information provided through the Honorstyle Services. Notwithstanding the foregoing, Honorstyle may, but is not obligated to, check the background and experience of Vendors via third-party background check services and first party interviews, including but not limited to a verification of identity and a comprehensive criminal background check, and may terminate a Vendor based on any information discovered during such background checks and first party interviews. Whether or not Honorstyle conducts a background check or first party interview on a Vendor, each Client must decide whether a Vendor is suited to such Client's needs and should exercise caution and common sense to protect their personal safety and property, just as they would when interacting with anyone unfamiliar.

Neither Honor Style Limited nor its affiliates is responsible for the conduct, whether online or offline, of any user of the services and you hereby release the Company and its affiliates from any liability related thereto. Company and its affiliates will not be liable for any claim, injury or damage arising in connection with your use of the services.

Fees and Payment

Clients make appointments with their favorite vendors or professionals and agree to make payments at ease for successfully completed services using their most convenient options as provided by the vendor.

You agree to pay the applicable fees listed on the services, for use of the Services. Clients may choose to pay a Tip for the service rendered. The Tip can be paid using the payment options provided by the vendor or professional.

Accounts

Account Registration

Creating an account with Honorstyle, grants you a right to use the services provided by Honorstyle subject to the restrictions set forth in these Terms of Service and any other restrictions provided to you by us in writing. Our registration process will ask you for information including your name and other personal information, and in registering for an Account, you agree to provide true, accurate, current and complete information about yourself as prompted by Honorstyle`s service registration process and as requested from time to time by Honorstyle. You further agree that, in providing such registration data, you will not knowingly omit or misrepresent any material facts or information and that you will promptly enter corrected or updated Registration Data via the Honorstyle`s services, or otherwise advise us promptly in writing of any changes or updates to your Registration Data. You further consent and authorize us to verify your Registration Data as required for your use of and access to the services. We reserve the right to suspend or terminate the Account of any User who provides inaccurate, untrue, or incomplete information, or who fails to comply with the account registration requirements.

Account ID

Upon registering with Honorstyle, your email address shall be your account ID. You must use your true and accurate name and email address when signing up for an Account. You are required to use an appropriate and non-offensive Account ID. Ideally, the Account ID you choose will be a reasonably descriptive name that clearly identifies you. We reserve the right to remove any Account ID if we believe, in our sole discretion, the Account ID is inappropriate, offensive or confusing or potentially violates the rights of a third party.

Your Account

You agree to maintain your Account solely for your own use. You agree that you will not allow another person to use your Account IDs to access or use the Services under any circumstances. You are solely and entirely responsible for maintaining the confidentiality of your Account IDs and for any charges, damages, liabilities or losses incurred or suffered as a result of your failure to do so. We are not liable for any harm caused by or related to the theft of your Account IDs, your disclosure of your Account IDs, or your authorization to allow another person to access or use the Services using your Account IDs. You are solely responsible for all activities that occur under your Account including any charges incurred relating to the Services. You agree to immediately notify us of any unauthorized use of your Account or any other breach of security known to you.

Linking Your Account

As part of the functionality of the Services, you may link your Account with online accounts you may have with third party service providers (each such account, a "Third Party Account") by either: (i) providing your Third Party Account login information through the Services; or (ii) allowing Honorstyle to access your Third Party Account, as is permitted under the applicable Terms and Conditions that govern your use of each Third Party Account. You represent that you are entitled to disclose your Third Party Account login information to Honorstyle and/or grant Honorstyle access to your Third Party Account (including, but not limited to, for use for the purposes described herein), without breach by you of any of the Terms and Conditions that govern your use of the applicable Third Party Account and without obligating Honorstyle to pay any fees or making Honorstyle subject to any usage limitations imposed by such third party service providers. By granting Honorstyle access to any Third Party Accounts, you understand that (i) Honorstyle may access, make available and store (if applicable) any content that you have provided to and stored in your Third Party Account (the "Social Networking Service Content") so that it is available on and through the Services via your Account, including without limitation any friend lists, and (ii) Honorstyle may submit and receive additional information to your Third Party Account to the extent you are notified when you link your Account with the Third Party Account. Unless otherwise specified in these Terms of Service, all SNS Content, if any, shall be considered to be Content (as defined below) for all purposes of these Terms of Service. Depending on the Third Party Accounts you choose and subject to the privacy settings that you have set in such Third Party Accounts, personally identifiable information that you post to your Third Party Accounts may be available on and through your Account on the Services. Please note that if a Third Party Account or associated service becomes unavailable or Honorstyle's access to such Third Party Account is terminated by the third party service provider, then SNS Content may no longer be available on and through the Services. You will have the ability to disable the connection between your Account and your Third Party Accounts at any time.

Please note that your relationship with the third party service providers associated with your third party accounts is governed solely by your agreement(s) with such third party service providers. Honorstyle makes no effort to review any SNS Content for any purpose, including but not limited to, for accuracy, legality or non-infringement, and Honorstyle is not responsible for any SNS Content.

The Services may contain links to third party websites that are not owned or controlled by Honorstyle. Honorstyle has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites. In addition, Honorstyle will not and cannot censor or edit the content of any third-party site. By using the Services, you expressly relieve Honorstyle from any and all liability arising from your use of any third-party website.

You acknowledge and agree that the Services may access your e-mail address book associated with a Third Party Account and your contacts list stored on your mobile device or tablet computer solely for the purposes of identifying and informing you of those contacts who have also registered to use the Services. At your request made via e-mail to support@honorstyle.co.ke, Honorstyle will deactivate the connection between the Honorstyle Services and your Third Party Account and any information stored on Honorstyle's servers that was obtained through such Third Party Account will be hidden, except the username and profile picture associated with your Account.

Termination of Accounts

Right to Terminate

Honorstyle reserves the right, in its sole discretion, to terminate your Account if you violate these Terms of Service or for any reason or no reason at any time. We may also suspend your access to the Services and your Account if you (a) have violated the terms of these Terms of Service, any other agreement you have with Honorstyle, including without limitation to the EULA, or Honorstyle's policies, (b) pose an unacceptable credit or fraud risk to us, (c) provide any false, incomplete, inaccurate, or misleading information or otherwise engage in fraudulent or illegal conduct, or (d) for any other reason in Honorstyle's sole discretion. You may terminate these Terms of Service and/or the EULA by terminating your Account at any time. Upon closure of an Account, any pending transactions will be canceled.

Termination Effects

We will not be liable to you for compensation, reimbursement, or damages in connection with your use of the Services, or in connection with any termination or suspension of the Services. Any termination of these Terms of Service does not relieve you of any obligations to pay any Fees or costs accrued prior to the termination and any other amounts owed by you as provided in these Terms of Service.

Honorstyle is not liable for any losses relating to fraudulent charges, or other actions by any User that are deceptive, fraudulent or otherwise invalid. By using the Services, you hereby release Honorstyle from any liability arising from fraudulent actions. You will also use reasonable efforts to promptly notify Honorstyle of any Fraudulent Actions which may affect the Services. Honorstyle reserves the right, in its sole discretion, to terminate the account of any User that engages in, or enables any other User to engage in fraudulent actions.

Payment Processing Services

Honorstyle's Role

The platform allows Clients to pay and Vendors to accept payments for Beauty Groom Services through payment options provided by the vendor. We are not a bank and we do not offer banking services. This means that we only collect and relay information generated in connection with these billings.

Customer Care

Vendors, as a separate entity from Honorstyle, are solely responsible for all customer service issues relating to such Vendor's goods or services, including without limitation, any beauty and grooming Services, pricing, order fulfillment, order or appointment cancellation, returns, refunds and adjustments, rebates, functionality and warranty, and feedback concerning experiences with such Vendor, any personnel, their policies or processes. Honorstyle is solely responsible for customer service issues relating to any account use.

Vendor's Loyalty Programs

Vendors may offer loyalty programs to Clients. If a Vendor offers such a loyalty program, the Vendor (and not Honorstyle) is responsible for ensuring that its program and any associated rewards are compliant with applicable laws of Kenya, including laws governing payments and special offers such as rebates and coupons. The Vendors agree to make available to Clients any Terms and Conditions applicable to such Vendor's loyalty program.

Honorstyle Programs

The Company may from time to time provide certain programs, promotions, opportunities, raffle and contests to Users ("Honorstyle Programs"); if you choose to take part in these Honorstyle Programs, additional terms can be found on the official honorstyle website under Honorstyle Programs. Honorstyle reserves the right to change the terms of Honorstyle Programs at any time on notice to you, provided that any such changes shall not affect you retroactively.

Use of Services; Limitations and Changes to the Services.

Honorstyle may change, modify, suspend, or discontinue all or any part of the Services at any time, with or without reason. You acknowledge that the operation of the Services may from time to time encounter technical or other problems and may not necessarily continue uninterrupted or without technical or other errors and Honorstyle shall not be responsible to you or others for any such interruptions, errors or problems or an outright discontinuance of the Services. Honorstyle has no obligation to maintain or update the Services or to continue producing or releasing new versions of the Services. We will make reasonable efforts to keep the Services operational 24 hours a day/7 days a week, except for: (i) planned downtime of which we will endeavor to provide at least 8 hours prior notice; or (ii) any unavailability caused by circumstances beyond our control, including but not limited to, acts of God, acts of government, flood, fire, earthquakes, civil unrest, acts of terror, strikes or other labor problems or internet service provider failures or delays.

When you offer your feedback or other suggestions about Honorstyle, we appreciate but you understand that we may use them and you hereby grant us all rights to such suggestions without any obligation to compensate you for them just as you have no obligation to offer them.

We do our best to keep Honorstyle safe and spam free, but can't guarantee it. In order to help us do so, you agree not to: (i) send or otherwise post unauthorized commercial communications (such as spam) on the Services. (ii) collect Users' content or information, or otherwise access the Services, using automated means (such as harvesting bots, robots, spiders, or scrapers) without our permission.(iii) engage in unlawful multi-level marketing, such as a pyramid scheme, on the Services. (iv) upload viruses or other malicious code. (v) solicit login information or Account IDs or access an account belonging to someone else.(vi) bully, intimidate, or harass any User.(vii) post content that is hateful, threatening, pornographic, or that contains nudity or graphic or gratuitous violence.(viii) develop, advertise or otherwise market alcohol-related or other mature content.(ix) use Honorstyle to do anything unlawful, misleading, malicious, or discriminatory. (x) do anything that could disable, overburden, or impair the proper working of Honorstyle or the Services, such as a denial of service attack.(xi) facilitate or encourage any violations of these Terms of Service.

To make sure we are able to provide a service to our Users and customers, we need to make sure our pages are accurate and up-to-date. To help us do so, you agree to:(i) keep your Registration Data and contact information accurate and up-to-date. (ii) keep your Account IDs and Account information confidential and not share your login information or Account IDs.(iii) not let anyone else access your Account, or do anything else that might jeopardize the security of your Account.

Protected Health Information Notice

You should not share any protected health information with service providers via the Services. The Services are not intended to be used to communicate protected health information. The term "protected health information" means any information that relates to the past, present or future physical or mental health or condition of an individual. Sharing any such protected health information is libelous and you do so at your own risk.

Proprietary Rights

The Services contains content and technology of Honorstyle Limited (“The Company”) that is protected by copyright, trademark, patent, trade secret and other laws. The Company owns intellectual property rights to any protectable part of the Services, including but not limited to the design, artwork, logos, functionality, and documentation (collectively, the "Company Property"). You may not copy, modify, or reverse engineer any part of the Services or the Company Property.

Honorstyle needs to make certain use of your publicly posted Content in its normal operations. Therefore, by posting, uploading or submitting to Honorstyle, or making available for inclusion in publicly accessible areas of Honorstyle, any text, images, photos, graphics, audio or video, including any content protected by intellectual property rights (content), you represent that you have full authorization to do so. You hereby grant Honorstyle a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, distribute, reproduce, modify, adapt, publicly perform, publicly display and make derivative works of such content in connection with the Services and any services or products affiliated with the Services, regardless of the form of media used or of whether such services or products now exist or are developed in the future. This license exists only for as long as you choose to continue to include such Content on Honorstyle and will terminate at the time such Content is removed from the Services by you or by Honorstyle; provided that the license will not terminate and will continue notwithstanding any removal of the Content or termination of your use of the Services to the extent that Honorstyle needs to use such Content in connection with any investigation or in compliance with any laws.

You agree not to post any images containing written text or text overlays. Images may not have symbols or text-images anywhere in the photo, including but not limited to shapes, logos, or emoticons, etc. Honorstyle reserves the right to remove or hide or change any images without notice.

When you delete Content, you understand that removed Content may persist in backup copies for a reasonable period of time but will not be available to others.

You acknowledge that all derivative designs and artwork which uses Honorstyle's logo or other Company property (collectively, "Derivative Works") are the sole property of Honorstyle. No other rights are granted to you with respect to the Company property other than those rights granted explicitly herein, including with respect to any Derivative Works.

Any Content posted by a User belongs to the person that posted such Content. You may use any Content posted by you in any way without restriction. You may only use Content posted by others in the ways described in these Terms of Service.

The Company reserves the right to remove or hide any Content from the Services, at its sole discretion.

The Company respects the intellectual property rights of others. It may, in its discretion, disable and/or terminate the Accounts of Users, if in its determination, believes that they have repeatedly infringed on others' rights. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide the following information to the Company's complaints desk via email to info@honorstyle.co.ke

The Company reserves the right to send Clients a newsletter from time to time if they opt-in to receiving one. This communication will be highly targeted based on how each Client uses Honorstyle and will be designed to inform Clients of how to get more value from the Services.

As part of the Services, the Company offers Vendors the option to send SMS and email messages to their Clients for various reasons such as reminding them of an upcoming appointment. By agreeing to these Terms of Service and using such tools, each Vendor represents that it has permission from each Client to send SMS and email notifications and that each Vendor takes full responsibility for adhering to each Client's preference with respect to such notifications.

When Users opt-in to the service, we will send you an SMS message to confirm your signup and that you agree to receiving such text messaging.

As always, message and data rates may apply for any messages sent to you from us and to us from you. You may receive messages including but not limited to requests for appointments, appointments booked, reminders for appointments, tips, and payment receipts. Disclaimers

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

Your use of the services is at your sole risk. You are fully and solely responsible for your interactions with other users and you agree that it is solely your responsibility to take reasonable precautions in all actions and interactions with other vendors and clients and in the provision or receipt of beauty and grooming services. Honorstyle is not responsible for the conduct, whether online or offline, of any user of the services. Honorstyle is under no obligation to, and does not routinely, screen its users, inquire into the background of its users or attempt to verify information provided by any user. We reserve the right but have no obligation, to monitor disputes between you and other users. Please carefully select the type of information that you post on the services or through the services or release to others. We disclaim all liability, regardless of the form of action, for the acts or omissions of other users.

We are not responsible for the use of any personal information that you disclose on the services or through the services. You understand that in using the services, sensitive information will travel through third-party infrastructure that is not under Honorstyle's control. Honorstyle makes no warranty with respect to the security of such third-party infrastructure.

Beauty and grooming services are offered on an "as is" and "as available" basis. Honorstyle and its subsidiaries, affiliates, officers, employees, agents, partners, and licensors explicitly disclaim all types of warranties, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Honorstyle does not make any representations or warranties regarding the quality, suitability, reliability, timing, durability, legality, or any other aspect of beauty and grooming services offered or provided by vendors, or requested by clients through the use of the services, whether in public, private, or offline interactions. Additionally, Honorstyle does not make any representations or warranties about the accreditation, registration, or licensing of any vendor.

Honorstyle makes no representations or warranties about the quality, suitability, reliability, timing, durability, legality, or any other aspect of Beauty Groom Services offered or provided by vendors or requested by clients through use of the services whether in public, private, or offline interactions or about the accreditation, registration or license of any vendor.

Any material downloaded or obtained through the use of the services is accessed at your own discretion and risk, and you will be solely responsible for any damage to your mobile device, computer system or loss of data that results from the download of any such material.

Limitation of Liability and Release

To the fullest extent permitted by law, in no event shall Honorstyle or its affiliates, officers, employees, agents, partners and licensors be liable for any damages whatsoever, whether direct, indirect, incidental, special, consequential or exemplary damages, including, but not limited to, damages for bodily injury or emotional distress and damages for loss of profits, goodwill, use, data or other intangible losses (even if the Company has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the services; (ii) Beauty Groom Services facilitated by the services or any interactions between users, including without limitation any liabilities arising in connection with the conduct, act or omission of any user (including without limitation stalking, harassment that is sexual or otherwise, acts of physical violence, and destruction of personal property) or any dispute with any user; (iii) statements or conduct of any third party on the service; (iv) any unauthorized access to or alteration of the services or your data or transmissions; or (v) any other matter relating to the services.

Honorstyle expressly disclaims any liability that may arise between users related to or arising from use of the services. Because Honorstyle is not involved in the actual interactions between vendors and clients or in the provision of any Beauty Groom Services, you hereby release and forever discharge Honorstyle and its affiliates, officers, directors, employees, agents and licensors from any and all claims, demands, damages (actual or consequential) of every kind and nature, whether known or unknown, contingent or liquidated, arising from or related to any dispute or interactions with any other user, whether online or in person, whether related to the provision of Beauty Groom Services or otherwise.

Indemnification

You agree to defend, indemnify and hold harmless Honorstyle and its affiliates, officers, directors, employees, agents, partners and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, debt and expenses including but not limited to legal fees arising from or relating to: (i) your use of and access to the Services; (ii) Beauty Groom Services facilitated by the Services or any interaction between you and another user; (iii) your violation of any term of these Terms of Service; (iv) your violation of any rights of a third party, including without limitation any copyright, intellectual property, or privacy right; or (v) any third-party claims or damages relating to death, personal injury or emotional distress arising from or related to use of the Services. These defense and indemnification obligations will survive the termination of these Terms of Service and your use of the Services.

Dispute Resolution

Informal Negotiations

To expedite resolution and the cost of any dispute, controversy or claim related to these Terms of Service, you and Honorstyle agree to first attempt to negotiate any Dispute (except those Disputes expressly excluded below) informally for at least thirty (30) days before initiating any arbitration or court proceeding. Such informal negotiations will commence upon written notice.

Binding Arbitration

If you and Honorstyle are unable to resolve a Dispute through informal negotiations, all claims arising from use of the Services (except those Disputes expressly excluded below) shall be finally and exclusively resolved by binding arbitration. Any election to arbitrate by one party will be final and binding on the other. You understand that if either party elects to arbitrate, neither party will have the right to sue in court. The arbitration will be commenced and conducted under the commercial arbitration rules and in a location agreed by the parties.

Exceptions to Alternative Dispute Resolution.

Claims that are prohibited from mandatory arbitration by a valid, non-preempted law, to the extent that a court of competent jurisdiction deems the waiver of such claim unenforceable, are not covered by this arbitration provision. Nothing in this arbitration provision will prevent either party from bringing an individual action in small claims court or to seek injunctive or other equitable relief on an individual basis in court, with respect to any dispute related to the actual or threatened infringement, misappropriation or violation of a party's intellectual property or proprietary rights.

Waiver of Right to be a Plaintiff or Class Member in a Purported Class Action or Representative Proceeding.

You and Honorstyle agree that any arbitration will be limited to the Dispute between Honorstyle and you individually. You acknowledge and agree that you and Honorstyle are each waiving the right to participate as a plaintiff or class member in any purported class action or representative proceeding. Further, unless both you and Honorstyle otherwise agree, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of any class or representative proceeding.

Right to Opt out of Arbitration and Class Action Waiver.

You may opt out of the foregoing arbitration and class action waiver provision of these Terms of Service by notifying Honorstyle in writing within 30 days of the date you first registered for the Services or 30 days from the date these Terms of Service were last updated . To opt out, you must send a written notification to Honorstyle at info@honorstyle.co.ke, that includes (a) your user identification, (b) your name, (c) your address, (d) your telephone number, (e) your email address and (f) a clear statement indicating that you do not wish to resolve claims through arbitration and demonstrating compliance with the 30-day time limit to opt out of the above arbitration and class action waiver sections.

Governing Law

You and Honorstyle agree that, other than as set forth under the subsection entitled "Waiver of Right to be a Plaintiff or Class Member in a Purported Class Action or Representative Proceeding, if any portion entitled "Dispute Resolution" is found illegal or unenforceable, that portion will be severed and the remainder of these Terms of Service will be given full force and effect. Notwithstanding the foregoing, if the subsection entitled "Exceptions to Alternative Dispute Resolution is found to be illegal or unenforceable, neither you or Honorstyle will elect to arbitrate any dispute falling within that portion of that subsection that is found to be illegal or unenforceable and such dispute will be decided by a court of competent jurisdiction and you and Honorstyle agree to submit to the personal jurisdiction of that court.

Except as expressly provided otherwise, these Terms of Service are governed by, and will be interpreted under, the laws of Kenya.

Privacy

Our collection of data and information via the Services from Users and others is subject to our Privacy Policy which is available at https://honorstyle.co.ke/privacy/, and is incorporated in the "Privacy Policy". You understand that through your use of the Services that you consent to the collection and use as set forth in the Privacy Policy of such data and information.

Security

We have implemented security measures aimed at safeguarding your personal information against accidental loss and unauthorized access, use, alteration, or disclosure. Nonetheless, we cannot guarantee that unauthorized third parties will never be able to bypass these measures or use your personal information for inappropriate purposes. By providing your personal information, you acknowledge that you do so at your own risk.

Terms of Service for Vendors

These Terms of Service (the "Terms of Service") govern the use of the mobile and internet-based services, business tools offered by Honor Style Limited. (the "Company," "Honorstyle," "we" or "us") at and through the website https://honorstyle.co.ke (the "Website") and through mobile applications (such services, applications and the Website are collectively referred to as the "Services"). The Company's Privacy Policy located at https://honorstyle.co.ke/privacy, as well as any agreements relating to the Services executed by you ("you" or "Vendor") or accepted by you via email or online, and any community guidelines or dispute resolution procedures that the Company may provide, are all considered part of these Terms of Service and are incorporated by reference into these Terms of Service in their entirety. In the event of a conflict between these Terms of Service and any other agreement, these Terms of Service will prevail. Any reference to these Terms of Service shall include and mean a reference to all such incorporated policies, guidelines, programs, schedules and processes. In the event of a conflict between these Terms of Service and the any other terms posted on the Website, the terms of these Terms of Service shall govern, and in the event of a conflict between these Terms of Service and the End User License Agreement in mobile applications (the "EULA"), the terms of the EULA shall govern.

This is a legal agreement between Honorstyle and You which governs your use of the Services. By executing your use of the Services constitutes your acceptance of and agreement to all of the Terms and Conditions in these Terms of Service and your representation that you are 18 years of age or older. If you object to anything in these Terms of Service you are not permitted to use the Services.

If you are accepting these Terms of Service and using the Services on behalf of a Company, organization, government, or other legal entity, you represent and warrant to the Company that you have full power and authority to do so.

The Services are protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. Unauthorized reproduction or distribution of the Services, or any portion of them, may result in severe civil and criminal penaltie and will be prosecuted to the maximum extent possible under the law. The Services are licensed, not sold.

The Honorstyle Services

Fees and Payment

Honorstyle may from time to time, either as a Honorstyle Program or otherwise, provide certain services to Vendors and/or Clients for an additional fee that would help Vendors grow their business and enable Vendors and Clients to connect more easily such as advertising.

Honorstyle Platform

Honorstyle solely provides a platform for Vendors and Clients to connect and serves only as a medium to facilitate the provision of Beauty Groom Services. Honorstyle does not provide or contract for Beauty Groom Services, and Vendors and Clients contract independently for the provision of Beauty Groom Services. Each Client is solely responsible for selecting the Vendor, the Beauty Groom Services to be provided and the location at which Beauty Groom Services will be performed, whether on the premises of a Vendor or at a site designated by the Client. Any decision by a Client to receive Beauty Groom Services or by a Vendor to provide Beauty Groom Services is a decision made in such person's sole discretion and at their own risk. All Users understand and acknowledge that (i) the Company does not conduct background checks on Clients and (ii) any provision of Services in a private location inherently increases the risks involved for both Clients, Vendors and any personnel of Vendors, as applicable. Each Vendor must decide whether a Client is suited to such Vendor's services and should exercise caution and common sense to protect the personal safety and property of such Vendor and its personnel, as applicable, just as they would when interacting with anyone they don't know.

Neither Honor Style Limited nor its affiliates or licensors is responsible for the conduct, whether online or offline, of any user of the services and you hereby release the Company and its affiliates or licensors from any liability related thereto. Honor Style Limited and its affiliates and licensors will not be liable for any claim, injury or damage arising in connection with your use of the Services.

Honorstyle does not have control over the quality, suitability, reliability, timing, durability, legality, failure to provide, or any other aspect whatsoever of any Beauty Groom Services provided by Vendors nor of the integrity, responsibility or any of the actions or omissions whatsoever of any Vendors or Clients. Honorstyle makes no representations or warranties whatsoever with respect to Beauty Groom Services offered or provided by Vendors or requested by Clients through use of the Services, whether in public, private, or offline interactions, or about the accreditation, registration or licensing of any Vendor. You understand that Honorstyle does not routinely screen its Users, inquire into the background of its Users or attempt to verify information provided by any User. Honorstyle does not verify or confirm that any User is who they claim to be or is accurately representing themselves and does not verify or confirm any representations with respect to Beauty Groom Services on the platform. Honorstyle does not assume any responsibility for the accuracy or reliability of this information or any information provided through the Services. Notwithstanding the foregoing, Honorstyle may, but is not obligated to, check the background and experience of Vendors via third-party background check services and first party interviews, including but not limited to a verification of identity and a comprehensive criminal background check and may terminate a Vendor based on any information discovered during such background checks and first party interviews.

In connection with certain services, including Beauty Groom Services, for which reservations are made available on the Services, if approved by Honorstyle, you may at your discretion, charge fees for reservations, including canceled and missed appointments, only in accordance with any policy posted on your Honorstyle page at the time of the Client's booking. While Honorstyle takes what it believes to be reasonable efforts to ensure secure transmission of your information to third parties who assess and process payments, Honorstyle is not responsible for any fees or charges assessed by third parties or any errors in the processing of payments by third parties, including any errors that result from third-party negligence, improper transmission of payment information, a Client's mistaken submission of payment information or submission of erroneous payment information.

You agree and represent that you will honor the reservations made by Clients through the Services, or will communicate with them in advance to resolve any scheduling conflicts to the Client's and Honorstyle's satisfaction.

Accounts

Account Registration

By creating an account with Honorstyle (an "Account"), registering and providing the requisite documentation, you are granted a right to use the Services provided by Honorstyle subject to the restrictions set forth in these Terms of Service and any other restrictions stipulated to you by us in writing. Our registration process will ask you for information including your name and other personal and business information (including information regarding any licensing and registration applicable to you where you provide the Services). You must complete this and other processes to access the services through the platform. In registering for an Account, you agree to provide true, accurate, current and complete information about yourself as prompted by the Services' registration process and as requested from time to time by Honorstyle (such information, "Registration Data"). You further agree that, in providing such Registration Data, you will not knowingly omit or misrepresent any material facts or information and that you will promptly enter corrected or updated Registration Data via the Services, or otherwise advise us promptly in writing of any changes or updates to your Registration Data. You further consent and authorize us to verify your Registration Data as required for your use of and access to the Services. We reserve the right to suspend or terminate the Account of any User who provides inaccurate, untrue, or incomplete information, or who fails to comply with the account registration requirements.

Account ID

Upon registering with Honorstyle, your email address shall be your account ID. You will be required to set a password for your account. You must use your or your business' true and accurate name when signing up for an Account. You are required to select an appropriate and non-offensive Account ID. Ideally, the Account ID you choose will be a reasonably descriptive name that clearly identifies you or your business. This name will appear on your statement for all transactions using the Services. We reserve the right to remove or reclaim any Account ID if we believe, in our sole discretion, the Account ID is inappropriate, offensive or confusing or potentially violates the rights of a third party such as trademark violations.

Your Account

By creating an Account, you confirm that you are either a legal resident of Kenya, a Kenyan citizen, or a business entity authorized to conduct business in Kenya. You may not export the Services directly or indirectly, and you acknowledge that the Services may be subject to export restrictions imposed by Kenya, and international users are required to comply with applicable international law.

You agree to maintain your Account solely for your own use. You agree that you will not allow another person to use your Account IDs to access or use the Services under any circumstances. You are solely and entirely responsible for maintaining the confidentiality of your Account IDs and for any charges, damages, liabilities or losses incurred or suffered as a result of your failure to do so. We are not liable for any harm caused by or related to the theft of your Account IDs, your disclosure of your Account IDs, or your authorization to allow another person to access or use the Services using your Account IDs. Furthermore, you are solely and entirely responsible for any and all activities that occur under your Account including any charges incurred relating to the Services. You agree to immediately notify us of any unauthorized use of your Account or any other breach of security known to you. You acknowledge that the complete privacy of your data and messages transmitted while using the Services cannot be guaranteed.

Linking Your Account

As part of the functionality of the Services, you may link your Account with online accounts you may have with third party service providers (each such account, a "Third Party Account") by either: (i) providing your Third Party Account login information through the Services; or (ii) allowing Honorstyle to access your Third Party Account, as is permitted under the applicable Terms and Conditions that govern your use of each Third Party Account. You represent that you are entitled to disclose your Third Party Account login information to Honorstyle and/or grant Honorstyle access to your Third Party Account (including, but not limited to, for use for the purposes described herein), without breach by you of any of the Terms and Conditions that govern your use of the applicable Third Party Account and without obligating Honorstyle to pay any fees or making Honorstyle subject to any usage limitations imposed by such third party service providers. By granting Honorstyle access to any Third Party Accounts, you understand that (i) Honorstyle may access, make available and store (if applicable) any content that you have provided to and stored in your Third Party Account so that it is available on and through the Services via your Account, including without limitation any friend lists, and (ii) Honorstyle may submit and receive additional information to your Third Party Account to the extent you are notified when you link your Account with the Third Party Account. Unless otherwise specified in these Terms of Service, all content, if any, shall be considered to be Content (as defined below) for all purposes of these Terms of Service. Depending on the Third Party Accounts you choose and subject to the privacy settings that you have set in such Third Party Accounts, personally identifiable information that you post to your Third Party Accounts may be available on and through your Account on the Services. Please note that if a Third Party Account or associated service becomes unavailable or Honorstyle's access to such Third Party Account is terminated by the third party service provider, then content may no longer be available on and through the Services. You will have the ability to disable the connection between your Account and your Third Party Accounts at any time. Please note that your relationship with the third party service providers associated with your third party accounts is governed solely by your agreement(s) with such third party service providers.

Honorstyle makes no effort to review any third party content for any purpose, including but not limited to, for accuracy, legality or non-infringement, and Honorstyle is not responsible for any such third party content.

You acknowledge and agree that the Services may access your e-mail address book associated with a Third Party Account and your contacts list stored on your mobile device or computer solely for the purposes of identifying and informing you of those contacts who have also registered to use the Services. At your request, Honorstyle will deactivate the connection between the Honorstyle Services and your Third Party Account any information stored on Honorstyle's servers that was obtained through such Third Party Account will be hidden, except the username and profile picture associated with your Account.

Termination of Accounts

Right to Terminate

Honorstyle reserves the right, in its sole discretion, to terminate your Account, or use of the Services, if you violate these Terms of Service, or for any reason or no reason at any time. We may also suspend your access to the Services and your Account if you (a) have violated the terms of these Terms of Service, any other agreement you have with Honorstyle, including without limitation the EULA, or Honorstyle's policies, (b) pose an unacceptable credit or fraud risk to us, (c) provide any false, incomplete, inaccurate, or misleading information or otherwise engage in fraudulent or illegal conduct or (iv) for any other reason in Honorstyle's sole discretion. This includes the right to modify or terminate any Account

You may terminate these Terms of Service and/or the EULA by terminating your Account at any time. Upon closure of an Account, any pending transactions will be canceled. Any funds owed to Honorstyle at the time of closure, should be remitted accordingly. You may not close your Account as a means of evading your payout schedule. If an investigation is pending at the time you close your Account, we may hold your account until this investigation is determined.

We will not be liable to you for compensation, reimbursement, or damages in connection with your use of the Services, or in connection with any termination or suspension of the Services. Any termination of these Terms of Service does not relieve you of any obligations to pay any fees or costs accrued prior to the termination and any other amounts owed by you to us as provided in these Terms of Service.

Termination Effects

If your Account is terminated or suspended for any reason or no reason, you agree: (a) to continue to be bound by these Terms of Service, (b) to immediately stop using the Services, (c) that any rights granted to you under these Terms of Service shall end, (d) that we reserve the right (but have no obligation) to hide or delete all of your information and account data stored on our servers, and (e) that Honorstyle shall not be liable to you or any third party for termination or suspension of access to the Services or for deletion or hiding of your information or account data. In the event that your Account is terminated or suspended, Honorstyle reserves the right to promote you to Clients using information collected during your subscription term, including but not limited to, a general description of your business, business address, customer reviews or photographs, but excluding your contact information (such as phone number or email address). Furthermore, you agree that Honorstyle may retain and use your information and account data as needed to comply with investigations and applicable law.

Vendor Accounts

Vendors may use the Services to offer Beauty Groom Services only through their business or personal software application (a "Vendor App"), and we reserve approval authority as to the implementation and use of the Services on the Vendor App. We may suspend the Services in the event we find any implementation issues with the Vendor App. Such suspension shall remain in effect until the Vendor corrects any issues specified by Honorstyle and a suspension shall not relieve a Vendor of its payment obligations under these Terms of Service.

By creating an Account as a Vendor, you certify that you are, or if you are a salon, merchant or other business entity, all of your employees, independent contractors or agents who are providing the Beauty Groom Services each are, a licensed Vendor and that your business information is correctly represented on Honorstyle. You further certify that you are duly licensed to provide Beauty Groom Services on premise or otherwise outside your place of business should you advertise such Beauty Groom Services on Honorstyle. Honorstyle reserves the right to remove or hide any incorrect, out of date, or illegal information from profiles, as well as remove or hide the entire profile itself.

As a Vendor creating an Account, you agree not to accept payments associated with certain businesses or activities. These include illegal goods or activities, pharmacy services without a physical visit to a doctor, unauthorized multi-level marketing, telemarketing, betting, prepaid, high-risk products or services, adult entertainment, firearms or other weapons and. drug paraphernalia

Honorstyle's Role in Payment Processing Services

The Services allow Clients to pay and Vendors to accept payments.

Authorization

Vendors authorize Honorstyle to charge commission for services booked through the Honorstyle Services. Your authorization permits us to generate an electronic draft or funds transfer copy for each payment transaction that you authorize. Your authorizations will remain in full force and effect until your Account is closed or terminated.

Third Party Payment Service Provider

The Company will use a third-party payment service provider (PSP), which may include MPesa, to process payment transactions for vendors. By using the PSP services, you agree to provide accurate information about yourself and your business, and authorize the Company to share it with the PSP. Please note that the Company is not a party to the PSP Agreement, and any obligations or liability under the PSP Agreement are solely between the Vendor and the PSP.

If the PSP is Fluttewave or MPesa, you agree to be bound by the Flutterwave or MPesa Services Agreement, which includes the respective Terms of Service and to provide accurate information about yourself and your business.

Unauthorized or Illegal Use

Honorstyle reserves the right to refuse or cancel any transaction, refund payments, or terminate your Account if we believe in our sole discretion that the transaction and/or your Account violates these Terms of Service or any other Honorstyle agreement, or if it poses harm to Vendors, other Honorstyle Users, the PSP or Honorstyle. Such harm includes, but is not limited to, fraudulent and other criminal acts as determined by Honorstyle. If we reasonably suspect that your Account has been used for an unauthorized, illegal, or criminal purpose, you authorize us to share information about you, your Account, and your transactions with law enforcement. We may also request information from you at any time, including details about services rendered, identity verification, and applicable Vendor licenses, to assist in investigations of suspicious transactions and/or accounts. You agree to provide us with such information and assistance in a timely manner and acknowledge that payment processing for a suspicious transaction and/or account may be delayed until cleared by Honorstyle, in its sole discretion. Failure to comply with our request for information and assistance may result in Honorstyle prohibiting you from processing any additional payments through our Services until you provide the requested information and assistance and are cleared by Honorstyle. If your access to or use of the Services has been restricted or terminated by Honorstyle, you are not allowed to register a new Honorstyle account or attempt to access and use the Services through the Honorstyle account of another User.

Access to Vendor Account

Subject to the vendor payout schedule of the service applicable fee/commission, the vendor account may be suspended until the full commission amount is received by Honorstyle.

When an account is suspended the vendor is not visible to the clients/other users and therefore not able to receive booking requests. Upon account suspension, all confirmed upcoming scheduled appointments are therefore deemed canceled.

Funds for any given transaction will not be received by the vendor until the transaction is deemed complete. Transactions will be deemed complete when Beauty Groom services have been completed & funds have been received by the vendor.

Should Honorstyle need to conduct an investigation or resolve any pending dispute related to your Account, we may restrict access to your account for the entire time it takes for us to do so. We also may also restrict access to your account as necessary to comply with applicable law or court order, or if otherwise requested by law enforcement or governmental entities.

Standard Schedule of Payouts

Honorstyle will automatically calculate the amount due from the vendor at the end of every business day. Payouts to Honorstyle for applicable fees/commission are to be received before the next business day. Failure to offload the payments to Honorstyle within the set parameters will automatically lead to account suspension.

Taxes

You are responsible for determining any and all taxes assessed, incurred, or required to be collected, paid, or withheld for any reason in connection to your use of our software and services ("Taxes"). You also are solely responsible for collecting, withholding, reporting, and remitting correct Taxes to the appropriate tax authority. We are not obligated to, nor will we determine whether Taxes apply, or calculate, collect, report, or remit any Taxes to any tax authority arising from any transaction. Honorstyle specifically disclaims any liability for Taxes.

Customer Care

Each Vendor, as a separate entity from Honorstyle, is solely responsible for all customer service issues relating to such Vendor's goods or services, including without limitation, any Beauty Groom Services, pricing, order fulfillment, order or appointment cancellation, returns, refunds and adjustments, rebates, functionality and warranty, and feedback concerning experiences with such Vendor, any personnel, their policies or processes. In performing customer service, Vendors must present themselves as a separate entity from Honorstyle. As between Vendors and Honorstyle, Honorstyle is solely responsible for customer service issues relating to the Account of the Vendor & applicable fee payment processing to Honorstyle.

Refunds and Returns

Honorstyle does not offer any refunds and returns since the commission fee is only applicable to the services booked and rendered through the platform.

Liability for Chargebacks and Fraudulent Actions

If a transaction is disputed, reversed for any reason by the network, processor, or financial institution, or unauthorized, it may be charged back to your account. Additionally, if a transaction is allegedly unlawful, suspicious, or violates the Terms of Service, it may also be charged back. If any user engages in deceptive, fraudulent, or otherwise invalid actions, such as chargebacks or fraudulent charges, Honorstyle is not responsible for any resulting losses. By using the Services, you release Honorstyle from any liability arising from such actions. You must promptly notify Honorstyle of any fraudulent actions that may affect the Services. Honorstyle may terminate the account of any user who engages in fraudulent activities or enables others to do so, at its sole discretion.

Honorstyle Set-off Rights

You hereby grant us a security interest in all of your accounts with us as collateral for the repayment of any obligations due under these Terms of Service. We also have the right of setoff against your accounts, and you assign, convey, deliver, pledge, and transfer all of your right, title, and interest in and to these accounts to us as security for repayment. However, this grant will not apply to any accounts where it would be prohibited by law.

You authorize us, without prior notice to you, to collect, charge, and/or set off all sums owing on the indebtedness against any and all of your accounts and other obligations. This is irrespective of whether we have made a demand under these Terms of Service or any other related agreements, and whether the obligation is contingent, matured or unmatured, to the extent permitted by law. If necessary, we may also administratively freeze or direct any third-party bank holding the account to freeze all such accounts to allow us to protect our security interest, collection, charge, and setoff rights as provided for in this section.

Please note that if you fail to fully pay amounts owed on demand, it will be considered a breach of these Terms of Service. You will be responsible for all costs associated with collection, in addition to the amount owed. This includes, but is not limited to, legal fees and expenses, collection agency fees, and any applicable interest.

Inactive Accounts

In the event that your Account remains inactive for two consecutive years, meaning no access or payment transactions have occurred, we will send you an email notification to the email address linked with your Account. You will then have the choice to keep your Account open or give the go-ahead for account closure. Failure to respond to our notification within thirty days will result in the automatic closure of your Account in accordance with applicable laws.

Vendor's Loyalty Programs

If a Vendor decides to offer loyalty programs to Clients, they are solely responsible for ensuring that their program and any associated rewards comply with all relevant laws and regulations.

Vendors are required to make the Terms and Conditions of their loyalty program available to Clients.

Honorstyle Programs

Gift Cards

Honorstyle may provide the option for Clients to purchase Gift Cards that can be used to pay for Beauty Groom Services from specific Vendors. It is important to note that Honorstyle is not the merchant of record for any Gift Card and will not be held responsible for any issues related to the redemption of a Gift Card.

Clients are prohibited from reloading Gift Cards via the Services, paying for Gift Cards with other Gift Cards, and transferring Gift Cards to other recipients. It is the responsibility of the Vendor to manage the redemption process of the Gift Cards and ensure compliance with all applicable laws regarding Gift Card redemption, including existing laws regarding expiration dates.

All purchases of Gift Cards will be processed through Honorstyle’s standard payment processing system.

Use of the Services; Limitations and Changes to the Services.

As a Vendor, you agree to follow all applicable rules and laws and take full responsibility for any promotion you offer via the Services. When you publish content or information, it means that everyone, including people outside of the Honorstyle community, will have access to that information and we may not have control over what they do with it.

We reserve the right to change, modify, suspend, or discontinue any part of the Services at any time. We will make reasonable efforts to keep the Services operational 24/7, but cannot guarantee uninterrupted service. As a User, you are responsible for complying with all applicable rules and laws, and for any promotions you offer through the Services. When you publish content publicly, it may be accessed by anyone and we cannot control how it is used. We may use any feedback or suggestions you provide without compensation. To keep Honorstyle safe and spam-free, you agree not to engage in certain activities, such as sending spam or uploading malicious code. You must keep your account information accurate and confidential to ensure the security of your account.

Proprietary Rights

The content and technology featured on the Services are the intellectual property of Honor Style Limited and are protected by various laws, including copyright, trademark, patent, and trade secret laws. This includes all protectable aspects of the Services, such as the design, artwork, logos, functionality, and documentation, collectively referred to as the "Company Property." You are prohibited from copying, modifying, or reverse-engineering any part of the Services or the Company Property.

To provide the Services, Honor Style Limited may need to use the Content you publicly post. By posting or submitting any text, images, photos, graphics, audio or video, including any content protected by intellectual property rights, you represent that you have the authority to do so. Additionally, you grant Honorstyle a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, distribute, reproduce, modify, adapt, publicly perform, publicly display and create derivative works of your Content in connection with the Services and any affiliated services or products, regardless of media format, now or in the future.

You agree not to post images containing written text or text overlays, symbols, logos, or emoticons. Honorstyle reserves the right to remove or modify any images without notice.

When you delete Content, it is removed in a manner similar to emptying the recycle bin on a computer. However, removed Content may persist in backup copies for a reasonable period of time.

Subject to the Terms and Conditions outlined in these Terms of Service, the Company grants each Vendor a limited, revocable, non-sublicensable license to display the Company's logos, trademarks, or other design marks provided by the Company for use solely in connection with the Services, promotion of Beauty Grooming Services offered via the Services, or other uses permitted in writing by the Company. However, you acknowledge that all derivative designs and artwork incorporating the Company's logo or other Company Property belong exclusively to the Company.

Any Content posted by a User remains the property of the person who posted it. You are free to use any Content posted by you in any way without restriction, but you may only use Content posted by others as described in these Terms of Service.

The Company reserves the right to remove or hide any Content from the Services, at its sole discretion.

The Company respects the intellectual property rights of others. It may, in appropriate circumstances and at its discretion, disable and/or terminate the Accounts of Users who the Company, in its determination, believes have repeatedly infringed on others' rights. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide the following information to the Company via email to info@honorstyle.co.ke.

(a) An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;

(b) A description of the copyrighted work or other intellectual property that you claim has been infringed;

(d) Your address, telephone number, and email address;

(e) A statement by you that you have a good faith belief that the disputed use is not authorized or consented to by the copyright owner, its agent, or the law; and

(f) A statement by you, made under oath, that the above information in your notice is completely accurate and that you are the copyright or intellectual property owner or are authorized to act on the copyright or intellectual property owner's behalf.

The Company reserves the right to send Vendors and Clients a newsletter from time to time if they opt-in to receiving one. This communication will be highly targeted based on how each Client uses Honorstyle and will be designed to inform Clients of how to get more value from the Services.

As part of the Services, the Company offers Vendors the option to send email messages to their Clients through Honorstyle for various reasons such as reminding them of an upcoming appointment. By agreeing to these Terms of Service and using such tools, each Vendor represents that it has permission from each Client to send email notifications and that each Vendor takes full responsibility for adhering to each Client's preference with respect to such notifications.

As part of the Services, the Company may send SMS messages to Users concerning product developments, marketing communications, and other information regarding the Services. The Company may also send SMS messages to Users regarding upcoming appointments and other reminders using a short code text messaging service. By signing up for the services and providing us with your mobile number, you confirm that you want Honorstyle to send you information we think may be of interest to you, which may include Honorstyle using automated dialing technology to text you at the mobile number you provided, and you agree to receive communications from Honorstyle, and you represent and warrant that each person you register for the services or for whom you provide a mobile phone number has consented to receive communications from Honorstyle. You agree to indemnify and hold Honorstyle harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including legal fees) arising from or in any way related to your breach of the foregoing. You understand that you are not required to provide this consent as a condition of using our Services and may opt out of receiving automated text messages from Honorstyle at any time by deactivating the account. As always, message and data rates may apply for any messages sent to you from us and to us from you. YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

Your use of the services is at your sole risk. You are fully and solely responsible for your interactions with other users and you agree that it is solely your responsibility to take reasonable precautions in all actions and interactions with other vendors and clients and in the provision or receipt of Beauty Groom Services. Honorstyle is not responsible for the conduct, whether online or offline, of any user of the services. Honorstyle is under no obligation to, and does not routinely, screen its users, inquire into the background of its users or attempt to verify information provided by any user. We reserve the right but have no obligation, to monitor disputes between you and other users. Please carefully select the type of information that you post on the services or through the services or release to others. We disclaim all liability, regardless of the form of action, for the acts or omissions of other participants or users.

It is possible for others to obtain personal information about you due to your use of the services or Beauty Groom Services, and that the recipient may use such information to harass or injure you. We are not responsible for the use of any personal information that you disclose on the services or through the services. You understand that in using the services, sensitive information will travel through third-party infrastructure that is not under Honorstyle's control (such as third-party servers). Honorstyle makes no warranty with respect to the security of such third-party infrastructure.

The services are provided on an "as is" and "as available" basis. Honorstyle and its subsidiaries, affiliates, officers, employees, agents, partners and licensors expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Honorstyle makes no warranty that (i) the services will meet your requirements or expectations, (ii) that your access to or use of the services will be uninterrupted, timely, secure or error free, (iii) that any defects in the services will be corrected, or (iv) that the services or any server through which you access the services is free of viruses or other harmful components.

Any material downloaded or otherwise obtained through the use of the services is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

No advice or information, whether oral or written, obtained by you from Honorstyle or through or from the services shall create any warranty not expressly stated in these Terms of Service.

Limitation of Liability and Release

To the maximum extent permitted by applicable law, Honorstyle and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any damages whatsoever, whether direct, indirect, incidental, special, consequential, or exemplary, including but not limited to damages for bodily injury or emotional distress, and damages for loss of profits, goodwill, use, data, or other intangible losses (even if Honorstyle has been advised of the possibility of such damages), arising from: (i) the use or inability to use the Services; (ii) Beauty Groom Services facilitated by the Services or any interactions between users, including without limitation any liabilities arising in connection with the conduct, act, or omission of any user (including without limitation stalking, sexual or otherwise harassing behavior, acts of physical violence, and destruction of personal property), or any dispute with any user; (iii) statements or conduct of any third party on the Service; (iv) any unauthorized access to or alteration of the Services or your data or transmissions; or (v) any other matter relating to the Services.

In certain jurisdictions, it may not be permissible to exclude certain warranties or limit or exclude liability for incidental or consequential damages. Therefore, some of the aforementioned limitations might not be applicable to you.

Honorstyle shall not be held liable for any issues that may arise between users as a result of the use of the Services. As Honorstyle does not participate in the actual interactions between Vendors and Clients or provide any Beauty Groom Services, you hereby release and forever discharge Honorstyle and its affiliates, officers, directors, employees, agents, and licensors from any and all claims, demands, and damages, whether actual or consequential, of every kind and nature, whether known or unknown, contingent or liquidated, arising from or related to any disputes or interactions with any other user, whether online or in person, whether related to the provision of Beauty Groom Services or otherwise.

Dispute Resolution

Informal Negotiations

In order to resolve any dispute, controversy, or claim related to these Terms of Service ("Dispute") quickly and economically, you and Honorstyle agree to attempt to resolve any Dispute (except those expressly excluded below) through informal negotiation for at least thirty (30) days before initiating any arbitration or court proceeding. Informal negotiations will start upon written notice. Your billing address will be used for these notices, with a copy sent to the email address you have provided to Honorstyle. Honorstyle's address for these notices is info@honorstyle.co.ke.

Binding Arbitration

In the event that informal negotiations between you and Honorstyle fail to resolve a Dispute, all claims arising from the use of the Services (except for those expressly excluded below) will be ultimately and exclusively settled through binding arbitration. The decision to arbitrate made by one party will be final and binding on the other. If either party elects to arbitrate, they understand that they forfeit the right to sue in court or have a trial by jury. The arbitration may take place in person, by phone, online, or through document submission. The arbitrator will issue a written decision but is not required to provide a statement of reasons unless requested by a party. The arbitrator must comply with applicable law, and any award may be challenged if the arbitrator fails to do so. Unless provided otherwise in these Terms of Service, you and Honorstyle may go to court to enforce arbitration, stay proceedings pending arbitration, or confirm, modify, vacate, or enter a judgment based on the arbitrator's decision.

Exceptions to Alternative Dispute Resolution.

This arbitration provision does not apply to claims where mandatory arbitration is prohibited by a valid law that cannot be preempted, and any waiver of such claim is considered unenforceable by a court with appropriate jurisdiction. Furthermore, this provision does not prohibit either party from bringing an individual action in small claims court or seeking equitable relief on an individual basis in relation to any dispute concerning actual or threatened infringement, misappropriation or violation of a party's intellectual property or proprietary rights.

Waiver of Right to be a Plaintiff or Class Member in a Purported Class Action or Representative Proceeding.

You and Honorstyle agree that any arbitration will be limited to the Dispute between Honorstyle and you individually. You acknowledge and agree that you and Honorstyle are each waiving the right to participate as a plaintiff or class member in any purported class action or representative proceeding. Further, unless both you and Honorstyle otherwise agree, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of any class or representative proceeding.

Location of Arbitration.

The arbitration shall be conducted in Nairobi County, Kenya. For any Dispute that is not subject to arbitration (except for claims proceeding in any small claims court), or in the event that no election to arbitrate has been made, you and Honorstyle agree that the Milimani Law Courts situated in Nairobi County shall have exclusive jurisdiction, and you and Honorstyle consent to the personal jurisdiction of such courts.

Right to Opt out of Arbitration and Class Action/Jury Trial Waiver.

Suppose you do not wish to be bound by the arbitration and class action/jury trial waiver provisions of these Terms of Service, you have the right to opt-out by sending a written notification to Honorstyle at info@honorstyle.co.ke within 30 days of your initial registration for the Services, or within 30 days of the date on which these Terms of Service were last updated. Your opt-out notification must include the following information: (a) your user identification, (b) your name, (c) your address, (d) your phone number, (e) your email address, and (f) a clear statement indicating that you do not wish to resolve claims through arbitration, and demonstrating that you have complied with the 30-day time limit to opt-out of the arbitration and class action/jury trial waiver provisions described above.

Governing Law.

If any portion of the "Dispute Resolution" section, except for the subsection on "Waiver of Right to be a Plaintiff or Class Member in a Purported Class Action or Representative Proceeding," is found to be illegal or unenforceable, that portion will be severed, and the rest of these Terms of Service will remain in effect. However, if the subsection on "Exceptions to Alternative Dispute Resolution" is found to be illegal or unenforceable, neither you nor Honorstyle will choose arbitration for any Dispute falling under that portion. Instead, a court of competent jurisdiction in Nairobi, Kenya, will decide such a Dispute, and you and Honorstyle agree to its personal jurisdiction.

Indemnification

You are responsible for defending, indemnifying, and holding harmless the Company, its affiliates, officers, directors, employees, agents, partners, and licensors from any claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including legal fees) arising from or relating to: (i) your use and access to the Services; (ii) any Beauty Groom Services facilitated by the Services or any interaction between you and another user; (iii) your violation of any term of these Terms of Service; (iv) your infringement of any third-party rights, including but not limited to any copyright, intellectual property, or privacy right; or (v) any third-party claims or damages relating to death, personal injury, or emotional distress arising from or related to the use of the Services. These defense and indemnification obligations will remain in effect even after the termination of these Terms of Service and your use of the Services.

Privacy

The collection of data and information from Users and others through the Services is governed by our Privacy Policy, which can be found at https://honorstyle.co.ke/privacy/ and is incorporated into these Terms of Service (the "Privacy Policy"). Your use of the Services constitutes your consent to the collection and use of such data and information in accordance with the Privacy Policy.

As a user of the Services, you may receive confidential information about Clients or other third parties. You agree to maintain the confidentiality of such information and to use it solely in connection with the Services. Without the express consent of the Client or third party, you may not disclose or distribute any such information to a third party or use the information for marketing purposes.

Security

While we have implemented security measures to protect your personal information and prevent accidental loss or unauthorized access, use, alteration, or disclosure, we cannot guarantee that unauthorized third parties will be unable to bypass these measures or use your personal information for improper purposes. By providing your personal information, you acknowledge and accept the associated risks.

Promoting a respectful and inclusive environment is essential for healthy interactions among Users or any community. Here are some guidelines to follow when engaging with others:

Respectful Language: Always use respectful language when communicating with others. Avoid using offensive or derogatory terms that could be hurtful or harmful.

Inclusivity: Be mindful of the diversity of the community and make an effort to include everyone in the conversation. Treat all individuals with respect and value their perspectives.

Think Before Posting: Take a moment to think about your comment or post before submitting it. Ensure that it contributes constructively to the discussion and aligns with the community guidelines.

Stay On Topic: Keep your comments relevant to the ongoing discussion. Avoid derailing the conversation with unrelated or off-topic remarks.

Check for Accuracy: Verify the information you share before posting it. Make sure your statements are accurate and supported by credible sources

Mindful Posting: Be aware of the context and appropriateness of your comments. Different platforms or communities may have varying guidelines or etiquettes.

Resolving Disagreements: In case of disagreements or conflicts, try to address them respectfully and constructively. Avoid resorting to personal attacks or offensive language.

Open-Mindedness: Be open to different perspectives and ideas. Engage in discussions with a willingness to learn from others and consider alternative viewpoints.

Cancellation Policy

We are dedicated to offering a seamless and rewarding experience as we prioritize your well-being. To maintain the quality of our services and respect the time and effort of our Users, Honorstyle has established a comprehensive Cancellation Policy as part of these Terms of Service, that outlines the guidelines for booking cancellations and modifications.

You as the User agree to the Cancellation Policy enumerated below;

Cancellation Window: Users can cancel their appointments without penalty if they do so at least 24 hours before the scheduled session.

Late Cancellation Fee: If a User cancels their appointment within 24 hours of the scheduled session (Default Period) or fails to show up (no-show), a late penalty will be applied on the account after three consecutive cancellations. The resulting penalty is a suspension of the account for up to two weeks depending on the frequency of cancellations.

Rescheduling: Clients who wish to reschedule their appointments are encouraged to do so within the cancellation window (at least 24 hours before the original session). In such cases, the cancellation fee will not apply, and the rescheduled appointment will be accommodated based on availability.

Emergency Situations: As a gesture of goodwill, we consider having a flexible policy for clients facing genuine emergency situations, where the late cancellation fee can be waived. Clients may need to provide proof or communicate directly with your vendor to avail this exception.

Communication and Reminders: Honorstyle communicates cancellation policy during the appointment booking process through email or text reminders. Honorstyle reminds clients of upcoming appointments and the cancellation policy to help minimize inadvertent cancellations.

Policy Review: We will regularly review our cancellation policy and adjust it as necessary based on our users’ needs and business requirements.
